Abstract

This research addresses the subject of the company's amortization of its shares, in addition the amortization process is carried out from the Company's distributable profits or reserves, which is an exceptional operation and made in several or in one payment by lot or any other method stated by company's article of association. The company resorts to the amortization process in the life of the company if the project is gradually amortized, and it is impossible for the shareholders to obtain the value of their shares at the end of the company period, the amortized share's owner is granted preference shares instead of amortized shares. The shares' amortization is not considered a purchase of shares because the purchase is made in real value of the shares, while the amortization is made according to the nominal value. The amortization process is not occurred until certain conditions are met and the most important of which is that the company's article of association states that.
The research came out with some results, and recommendations the most important of which is that the amortization of the shares is a refund of the share value before the expiry of the company period, and the shareholder is still retaining all his other rights furthemore one of the most important recommendations is not resorting to amortization of shares by lot due to its unfaimess, and a part of the nominal value of all shares shall be returned annually to shareholders so that the total value shall be amortized over the time period specified by the Company's Articles of Association.
